1. About These Terms
These Terms of Use ("Terms") govern your use of the websites at spadamq.com and spadamq.eu and any subdomains (the "Website"), operated by Mass Quantitative Limited ("Mass Quantitative", "we", "us", "our"), a private limited company incorporated in Ireland (CRO: 813902).
By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website. These Terms should be read alongside our Privacy Policy and Cookie Policy.
2. The Website: Nature and Purpose
The Website is a pre-launch information and early access registration platform for Spada, a prediction market intelligence and analytics tool. At the date of these Terms:
- No product or service is currently available for purchase or subscription through this Website
- The Website allows visitors to register their interest in early access to Spada when it launches
- Registration does not constitute a binding contract for the provision of any service
- Registration does not guarantee access to Spada or any particular tier, pricing, or feature set
- Mass Quantitative reserves the right, in its sole discretion, to determine the order, criteria, and timing of early access admission
3. Eligibility
The Website is intended for persons aged 18 or over. By using the Website you confirm you are at least 18. If accessing on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
4. Intellectual Property
All content on the Website (including text, graphics, logos, icons, images, the Spada brand identity, and all related intellectual property) is owned by or licensed to Mass Quantitative Limited and is protected by the Copyright and Related Rights Act 2000 (Ireland) and applicable EU intellectual property law.
You may view and access the Website for personal, non-commercial informational purposes and share links on a non-commercial basis. You may not:
- Copy, reproduce, republish, download, broadcast, or make available any content without our prior written consent
- Modify or create derivative works from any Website content
- Use the Spada name, logo, or branding without prior written consent
- Use Website content for commercial purposes without a licence
- Scrape, crawl, or extract data from the Website by automated means
5. Acceptable Use
You agree not to use the Website:
- In any way that violates applicable Irish, EU, or international law or regulation
- To transmit unsolicited commercial communications
- To impersonate any person or entity or misrepresent your affiliation with any person or entity
- To introduce malicious code, viruses, or any technologically harmful material
- To attempt unauthorised access to the Website, its server, or any associated database or computer system
- To conduct denial of service attacks or any other disruptive activity
6. Financial Services Disclaimer
Spada is a data analytics, charting, and intelligence platform for prediction markets. Nothing on this Website constitutes:
- Financial advice within the meaning of the Investment Intermediaries Act 1995 (Ireland) or MiFID II
- Investment advice, investment research, or a personal recommendation to buy, sell, or hold any financial instrument
- Tax advice or legal advice
Mass Quantitative Limited is not regulated by the Central Bank of Ireland or any other financial services regulator. All information is provided for informational and analytical purposes only. You are solely responsible for any decisions you make in connection with prediction markets or any other financial activity. Seek independent professional financial advice before making investment or trading decisions.
Prediction markets involve real financial risk. The value of positions can go up as well as down. Past performance is not a reliable indicator of future results.
7. Website Availability and Accuracy
- We make no warranty that the Website will be available at all times or without interruption
- We make no warranty that Website content is complete, accurate, or up to date
- We reserve the right to modify, suspend, or discontinue the Website at any time without notice
8. Third-Party Links
The Website may contain links to third-party sites provided for convenience only. We have no control over and accept no responsibility for the content or practices of any third-party site. Inclusion of a link does not imply endorsement.
9. Limitation of Liability
To the fullest extent permitted by applicable law, and subject to the exceptions below:
- Our total liability to you in connection with your use of the Website, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of: (i) the total subscription fees paid by you to Mass Quantitative Limited in the twelve months immediately preceding the event giving rise to the claim; or (ii) €100.
- We exclude all liability for: loss of profits; loss of business; loss of data; loss of goodwill; indirect, special, or consequential loss; losses arising from reliance on information on the Website.
Nothing in these Terms limits or excludes liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded by applicable law including under the Consumer Rights Act 2022 (Ireland) and the Liability for Defective Products Act 1991.
As the Website is currently a pre-launch information site and no subscription fees are yet payable, the effective cap during the pre-launch period is €100. This cap will be updated in Version 3.0 to reflect active subscriptions at platform launch.
10. Governing Law and Jurisdiction
These Terms and any dispute arising from them (including non-contractual disputes) are governed by and construed in accordance with the laws of Ireland and the European Union. The courts of Ireland shall have exclusive jurisdiction, subject to your rights as a consumer resident in another EU member state to bring proceedings in your country of residence under applicable EU consumer protection law.
The EU Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr for consumers within the EU.
11. Changes to These Terms
We may update these Terms. We will notify registered users of material changes by email or prominent Website notice before the change takes effect. Continued use after such notice constitutes acceptance of the revised Terms. The date of the most recent revision is shown at the top of this section.
